Companies Registration.
As regards paragraphs 2 and 3 of your
despatch the difficulties are appreciated of
completing the drafting of an Ordinance to deal
with all the problems arising out of the registra-
tion of China Companies in Hong Kong, and I am
prepared to leave to you the decision whether the
matter should be dealt with under the Emergency
Registration of Companies Proclamation No.27 and
amendments thereto. I am advised that that
Proclamation as continued in force and amended by
Ordinance No. 2 of 1946, and regulations made
thereunder, would satisfy the requirements of
Section 2 of Article 4 of the China Order in Council
1943. Accordingly I have no objection to the
continued use of Proclamation and regulations made
thereunder provided you are satisfied that changes
in the organisation of China Companies and other
matters incidental to their registration in Hong
Kong can be adequately dealt with by such
regulations. Failure to secure registration will
result in such a Company ceasing to exist (see
China Order in Council 1943 Article 4 section 3),
and I assume that the discretion conferred under
Article 2 of Proclamation No.27 will in general be
